These Terms and Conditions ("Terms") govern access to and use of the Scholargrowth platform, including the Scholargrowth website, dashboard, and all associated software, features, and services (together, the "Service"), provided by Scholargrowth ("Scholargrowth," "we," "us," or "our"). By creating an account, purchasing a package, or otherwise accessing or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, you must not access or use the Service.
1Definitions
For the purposes of these Terms, the following definitions apply. "Account" means the unique account created by a Customer to access the Service. "Authorised User" means any individual the Customer permits to access the Service under the Customer's Account, including employees, contractors, and other representatives of the Customer. "Content" means any data, text, files, images, documents, or other material uploaded, entered, submitted, or stored by a Customer or an Authorised User within the Service, including customer records, project information, employee records, invoices, and financial data. "Package" means the specific tier of the Service that a Customer has purchased, which determines the features, usage limits, and other characteristics of the Customer's access. "Lifetime Access" means access to the Package a Customer has purchased for as long as Scholargrowth continues to operate and make the Service available, subject to these Terms; it refers to the lifetime of the Service, not the lifetime of any individual or business. "Order" means the process by which a Customer selects and purchases a Package, whether through the Scholargrowth website or another designated purchasing channel. "Third-Party Services" means services provided by third parties that are integrated with, or used to support, the Service, including payment processing services provided by Stripe.
References in these Terms to "business day" mean any day other than a Saturday, Sunday, or public holiday in the jurisdiction in which Scholargrowth is established. Headings in these Terms are included for convenience only and do not affect their interpretation. Where the context permits, references to the singular include the plural and vice versa, and references to "including" or "includes" are to be construed as illustrative rather than exhaustive.
2Nature of the Service
Scholargrowth is a web-based business management software platform. The Service brings together tools for customer relationship management, lead and sales pipeline management, project and task management, HR administration, invoicing, income and expense record-keeping, and business reporting, within a single online dashboard.
The Service is provided as software only. Scholargrowth does not provide accounting, tax, financial, investment, legal, payroll, or other regulated professional services, and nothing in the Service or in these Terms should be understood as constituting such advice. Scholargrowth does not act as an employer of record, does not process payroll, and does not hold or transmit Customer funds on behalf of third parties. Payment processing in connection with the Service is carried out by Stripe, a third-party payment processor, and not by Scholargrowth directly.
Scholargrowth provides tools that allow Customers to organise, record, and review information that Customers themselves choose to enter into the Service. Scholargrowth does not independently verify the accuracy, completeness, or legality of Content entered by Customers, and the Customer remains solely responsible for that Content, as further described in these Terms.
3Eligibility and Account Registration
To use the Service, a Customer must be able to form a legally binding contract, whether as an individual of legal age or as an authorised representative of a business entity. By registering for an Account, the Customer represents that all information provided during registration is accurate, current, and complete, and agrees to keep such information up to date.
The Customer is responsible for maintaining the confidentiality of Account login credentials, and for restricting access to the Account to Authorised Users. The Customer is responsible for all activity that occurs under its Account, whether or not the Customer specifically authorised a particular action, except to the extent such activity results from Scholargrowth's own breach of these Terms. The Customer agrees to notify Scholargrowth promptly if it becomes aware of any unauthorised access to, or use of, its Account.
Scholargrowth reserves the right to refuse registration, suspend, or terminate an Account where it reasonably believes that information provided during registration is false, misleading, or incomplete, or where the Account is being used in a manner inconsistent with these Terms.
4Packages and Orders
The Service is made available as a set of Packages, each purchased with a single one-off payment that provides Lifetime Access. The Service is not provided on a subscription basis: there are no recurring charges, no renewal dates, and nothing to cancel in order to stop future billing. Each Package offers a different combination of features, usage limits, user allowances, storage capacity, reporting functionality, or other characteristics, as described on the Scholargrowth website or otherwise made available to the Customer at the time of purchase.
Details of the features and limits associated with each Package, along with its price, are made available to the Customer during the purchase process. By completing an Order, the Customer agrees to the price presented at that time and authorises Scholargrowth, through its payment processor, to take a single one-off payment for the selected Package. Scholargrowth will not charge the Customer again for that Package. Access to the Package is provided once checkout is complete, including where the payment is still being processed by the Customer's chosen payment method, as described in the Fees, Billing, and Payment Processing section of these Terms.
Scholargrowth may introduce new Packages, modify the features or limits associated with existing Packages, or discontinue Packages from time to time. Where such changes materially reduce the features of a Customer's current Package, Scholargrowth will use reasonable efforts to provide advance notice, and the Customer may, where applicable, be given the option to move to an alternative Package.
Customers who purchased a Package that was sold for a fixed 12-month term keep access for the term they paid for, on the terms that applied at the time of that purchase. Purchasing a Package at the current price provides Lifetime Access in accordance with these Terms.
5Fees, Billing, and Payment Processing
The price of each Package is set out at the time of purchase and is payable as a single one-off payment in advance, in pounds sterling (GBP), unless otherwise agreed in writing. There are no recurring fees for a Package once it has been paid for. Unless expressly stated otherwise, prices are exclusive of any applicable taxes, duties, or similar governmental charges, which the Customer is responsible for in addition to the price payable to Scholargrowth.
All payments in connection with the Service are processed through Stripe, a third-party payment processor. Depending on availability and eligibility, supported payment methods may include credit and debit cards, Bacs Direct Debit, and Klarna. By providing payment details, the Customer authorises Scholargrowth, via Stripe, to take a single payment for the Package purchased. Where a Customer pays with Klarna, any instalment or deferred payment arrangement is between the Customer and Klarna and is subject to Klarna's own terms. Scholargrowth does not itself store complete payment card details; such information is handled directly by Stripe in accordance with its own applicable terms and security standards.
Some payment methods, such as Bacs Direct Debit and Klarna, can take several working days to complete. To avoid delay, Scholargrowth provides access to the Package as soon as checkout is complete, while the payment is still being processed. If the payment subsequently fails, is reversed, or is not completed, Scholargrowth may suspend access to the Service until a successful payment for the Package is received. The Customer is responsible for ensuring that the billing information it provides at checkout is accurate.
Except as expressly provided in the refund provisions of these Terms, payments for a Package are non-refundable, including in circumstances where the Customer has not used, or has made limited use of, the Service.
6Refund Policy
Scholargrowth offers a 14-day money-back guarantee on eligible purchases, allowing a Customer to request a refund of the one-off payment for their first Package within 14 days of the original purchase, subject to the conditions set out in this section and in Scholargrowth's published refund policy as made available on the Scholargrowth website from time to time.
Refund eligibility may depend on factors including, without limitation, the Package purchased, the timing of the refund request relative to the date of purchase, and the extent of the Customer's use of the Service during the eligibility period. Scholargrowth reserves the right to decline a refund request where it reasonably determines that the request falls outside the scope of the published refund policy, or where use of the Service during the eligibility period indicates that the guarantee is being used in a manner inconsistent with its intended purpose.
Refund requests should be submitted to Scholargrowth's support team through the contact channels made available for that purpose, together with the information reasonably required to process the request, such as the Account details and the date of the original purchase. Where a refund is approved, Scholargrowth will process the refund to the original payment method within a reasonable period, subject to the processing times of Stripe and the Customer's payment provider.
Except as set out in this section or as otherwise required by applicable law, Scholargrowth is under no obligation to provide refunds, credits, or other compensation in connection with the Service.
7Customer Content and Responsibilities
The Customer retains ownership of all Content it uploads, enters, or otherwise submits to the Service. Scholargrowth does not claim ownership over Customer Content and uses it solely for the purpose of providing, maintaining, and supporting the Service to the Customer, and as otherwise described in these Terms and in Scholargrowth's Privacy Policy.
The Customer is solely responsible for the Content it enters into the Service, including its accuracy, completeness, legality, and appropriateness. This includes, without limitation, customer information, employee records, project information, financial records, invoices, and any documents uploaded to the platform. The Customer represents and warrants that it has all necessary rights, consents, and lawful bases required to collect, store, and process such Content within the Service, including in respect of personal information relating to the Customer's own customers, employees, or other third parties.
The Customer is responsible for ensuring that its use of the Service, and the Content it stores within the Service, complies with all applicable laws and regulations, including those relating to data protection, employment, consumer protection, financial record-keeping, and taxation. Where specialist advice is required in connection with any of these areas, the Customer is responsible for obtaining that advice from appropriately qualified professionals; the Service is not a substitute for such advice.
The Customer agrees not to use the Service to store or process Content that is unlawful, infringes the rights of any third party, or that Scholargrowth reasonably determines poses a security or legal risk to the Service or to other users. Scholargrowth reserves the right, though it is under no obligation, to remove or restrict access to Content that it reasonably believes violates these Terms or applicable law.
8Acceptable Use
The Customer agrees to use the Service only for lawful business purposes consistent with these Terms. Without limiting the generality of the foregoing, the Customer agrees not to, and not to permit any Authorised User to: (a) use the Service in violation of any applicable law or regulation; (b) attempt to gain unauthorised access to the Service, other Customer accounts, or Scholargrowth's underlying systems or networks; (c) interfere with or disrupt the integrity or performance of the Service, including through the introduction of malicious code; (d) reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law; (e) resell, sublicense, or otherwise make the Service available to any third party outside the scope of the Customer's own business, except as expressly permitted by these Terms or a separate written agreement; or (f) use the Service to store or transmit Content that is defamatory, fraudulent, or otherwise unlawful.
Scholargrowth reserves the right to investigate suspected violations of this section and to take appropriate action, which may include issuing a warning, suspending or terminating the Customer's Account, or removing offending Content, without prejudice to any other rights or remedies available to Scholargrowth under these Terms or applicable law.
9Authorised Users and Team Access
Where a Customer's Package permits multiple Authorised Users, the Customer is responsible for managing access permissions within its Account, including determining which Authorised Users may access particular areas of the Service, such as employee records or financial data.
The Customer is responsible for ensuring that each Authorised User is made aware of, and agrees to comply with, the applicable provisions of these Terms relevant to their use of the Service. The Customer remains responsible to Scholargrowth for the acts and omissions of its Authorised Users in connection with the Service as though such acts and omissions were the Customer's own.
The Customer is responsible for promptly removing or restricting the access of any Authorised User whose relationship with the Customer has ended, or whose access should otherwise be revoked, including former employees or contractors.
10Intellectual Property
As between the Customer and Scholargrowth, Scholargrowth and its licensors retain all right, title, and interest in and to the Service, including the underlying software, design, features, functionality, and all associated intellectual property rights. Nothing in these Terms transfers any such rights to the Customer, except for the limited right to access and use the Service as expressly set out in these Terms.
Subject to the Customer's ongoing compliance with these Terms and payment of applicable fees, Scholargrowth grants the Customer a limited, non-exclusive, non-transferable right to access and use the Service for the duration of the Customer's Lifetime Access (or, for a Package sold for a fixed term, for that term), solely for the Customer's own internal business purposes and in accordance with the applicable Package.
The Customer may not use Scholargrowth's name, trademarks, or logos without Scholargrowth's prior written consent, except as reasonably necessary to identify Scholargrowth as the provider of the Service, such as in internal documentation referencing the Customer's use of the platform.
11Third-Party Services
The Service relies on certain Third-Party Services in order to operate, including payment processing services provided by Stripe. Use of these Third-Party Services may be subject to separate terms and conditions imposed by the relevant third party, and the Customer's continued use of the Service in connection with such Third-Party Services constitutes acceptance of those separate terms, to the extent applicable.
Scholargrowth is not responsible for the acts, omissions, availability, or performance of Third-Party Services, and disclaims all liability arising from or in connection with such Third-Party Services, except to the extent such liability arises directly from Scholargrowth's own negligence in selecting or integrating with the relevant third party.
Where the Service integrates with, or provides functionality involving, other third-party platforms or tools not described elsewhere in these Terms, such integrations are provided on an "as available" basis and may be modified, suspended, or discontinued by Scholargrowth at its discretion, including where required by changes made by the relevant third party.
12Service Availability and Support
Scholargrowth will use commercially reasonable efforts to make the Service available on a consistent basis, but does not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled maintenance required to address urgent issues, or factors outside Scholargrowth's reasonable control.
Where practicable, Scholargrowth will provide advance notice of scheduled maintenance that is expected to result in a material interruption to the Service. No such notice is guaranteed in the case of emergency or urgent maintenance required to protect the security, integrity, or performance of the Service.
Scholargrowth provides support in connection with the Service through the channels made available for that purpose, including for questions relating to Account access, purchase and billing matters, platform functionality, and general use of the Service. The specific level and availability of support may vary depending on the Customer's Package.
13Data Protection and Privacy
Scholargrowth processes personal information in connection with the Service in accordance with its Privacy Policy, which is incorporated into these Terms by reference and available on the Scholargrowth website. The Privacy Policy describes how Scholargrowth collects, uses, and safeguards personal information relating to Customers and Authorised Users in connection with their own use of the Service.
Where Content stored by a Customer within the Service includes personal information relating to third parties, such as the Customer's own customers or employees, the Customer acts as the controller of that personal information, and Scholargrowth processes such information on the Customer's behalf solely for the purpose of providing the Service. The Customer is responsible for ensuring that its collection and use of such personal information, and its instructions to Scholargrowth in connection with that information, comply with applicable data protection law.
Where required by applicable data protection law, Scholargrowth will enter into a separate data processing agreement with the Customer governing the processing of personal information on the Customer's behalf, setting out matters such as the nature and purpose of processing, the categories of personal information involved, the duration of processing, and the technical and organisational security measures applied. Where such an agreement exists, it is incorporated into, and forms part of, these Terms.
Scholargrowth implements reasonable technical and organisational measures designed to protect Content stored within the Service against unauthorised access, loss, or disclosure. No system can guarantee complete security, and the Customer acknowledges that it also bears responsibility for maintaining appropriate access controls and safeguarding its own Account credentials, as described elsewhere in these Terms.
In the event Scholargrowth becomes aware of a security incident affecting Customer Content, Scholargrowth will notify the affected Customer without undue delay and provide such information as is reasonably available regarding the nature of the incident, the categories of information affected, and the steps being taken in response, consistent with its obligations under applicable law.
14Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCHOLARGROWTH DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Without limiting the foregoing, Scholargrowth does not warrant that the Service will meet the Customer's specific requirements, that reports or other outputs generated by the Service will be accurate or complete (given that they are based entirely on Content entered by the Customer), or that the Service will be free of defects or vulnerabilities. Scholargrowth expressly disclaims any warranty that the Service constitutes, or is a substitute for, accounting, tax, financial, legal, payroll, or other professional advice.
The Customer acknowledges that its use of the Service, and any decisions made on the basis of information stored within or generated by the Service, remain the Customer's own responsibility, and that the Customer should seek appropriate professional advice where its circumstances require it.
15Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SCHOLARGROWTH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE CUSTOMER'S USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE SOUGHT, EVEN IF SCHOLARGROWTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCHOLARGROWTH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO SCHOLARGROWTH FOR THE SERVICE DURING THE TWELVE (12)
MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms is intended to exclude or limit any liability that cannot lawfully be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or liability for fraud or fraudulent misrepresentation. The limitations in this section apply to the fullest extent permitted in the relevant jurisdiction, and where a particular limitation is found to be unenforceable, the remaining limitations will continue to apply.
16Indemnification
The Customer agrees to indemnify, defend, and hold harmless Scholargrowth and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) the Customer's Content, including any claim that such Content infringes the rights of a third party or violates applicable law; (b) the Customer's use of the Service in violation of these Terms; or (c) the Customer's breach of any representation or warranty made under these Terms. Scholargrowth will provide the Customer with prompt notice of any claim subject to indemnification under this section, and the Customer will have the right to control the defence and settlement of such claim, provided that Scholargrowth may participate in the defence at its own expense, and provided further that any settlement that imposes obligations on Scholargrowth requires Scholargrowth's prior written consent.
17Term, Suspension, and Termination
These Terms remain in effect for as long as the Customer maintains an Account or otherwise uses the Service. A Package purchased with a single one-off payment provides Lifetime Access and does not renew, because there is no recurring charge. A Package that was sold for a fixed 12-month term ends at the close of that term unless the Customer purchases a Package again.
Because there are no recurring charges, a Customer does not need to cancel anything to avoid being billed again. A Customer may close its Account at any time by contacting Scholargrowth's support team. Except as set out in the refund provisions of these Terms, closing an Account does not entitle the Customer to a refund of any payment already made.
Scholargrowth may suspend or terminate a Customer's access to the Service, in whole or in part, where a payment for the Customer's Package fails, is reversed, or is the subject of a chargeback, where the Customer materially breaches these Terms and fails to remedy such breach within a reasonable period after notice, or where Scholargrowth reasonably believes that suspension or termination is necessary to protect the security or integrity of the Service or to comply with applicable law. Scholargrowth will use reasonable efforts to provide notice of any such suspension or termination where practicable in the circumstances.
Suspension of access, where it occurs short of full termination, is intended as a proportionate response to an identified issue, such as a failed payment or a suspected breach under investigation, and Scholargrowth will generally restore access promptly once the underlying issue has been resolved to Scholargrowth's reasonable satisfaction. Upon termination of a Customer's Account for any reason, the Customer's right to access the Service will end. Scholargrowth may retain a copy of the Customer's Content for a limited period following termination, as described in its Privacy Policy or applicable data retention practices, after which such Content may be permanently deleted. Customers are encouraged to export or otherwise preserve any Content they wish to retain prior to closing their Account.
Lifetime Access lasts for as long as Scholargrowth continues to make the Service available. If Scholargrowth decides to discontinue the Service as a whole, it will give Customers reasonable advance notice and an opportunity to export their Content before the Service ends.
The provisions of these Terms that by their nature are intended to survive termination — including, without limitation, those relating to amounts owed prior to termination, intellectual property, confidentiality, indemnification, disclaimers, limitation of liability, and governing law — will continue to apply after these Terms otherwise come to an end.
18Changes to the Service and These Terms
Scholargrowth may modify, update, or discontinue features of the Service from time to time, in order to improve functionality, respond to user needs, maintain security, or for other legitimate business reasons. Where such changes materially reduce the core functionality available under a Customer's current Package, Scholargrowth will use reasonable efforts to provide advance notice.
Scholargrowth may revise these Terms from time to time to reflect changes in the Service, legal or regulatory requirements, or Scholargrowth's business practices. Where changes are material, Scholargrowth will provide reasonable notice prior to the changes taking effect, such as by posting an updated version of these Terms on the Scholargrowth website or by notifying the Customer directly. Continued use of the Service after the effective date of any revised Terms constitutes acceptance of those Terms. If a Customer does not agree to revised Terms, its remedy is to stop using the Service and close its Account in accordance with these Terms.
19Confidentiality
Each party may have access to confidential or proprietary information of the other party in connection with the Service, including, in the case of Scholargrowth's access to the Customer's information, the Customer's Content. Each party agrees to use the other party's confidential information solely for the purposes contemplated by these Terms, and to protect such information using a reasonable degree of care, no less protective than the measures it applies to its own confidential information of a similar nature.
This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, is independently developed without reference to the disclosing party's confidential information, or is required to be disclosed by law, provided that, where legally permitted, the disclosing party is given reasonable notice to seek a protective order or other appropriate remedy.
20Force Majeure
Neither party will be liable for any failure or delay in performing its obligations under these Terms, other than payment obligations, to the extent such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labour disputes, failures of third-party infrastructure or Third-Party Services, and internet or telecommunications failures.
The party affected by such circumstances will use reasonable efforts to notify the other party and to resume performance of its obligations as soon as reasonably practicable once the relevant circumstances have ceased.
21Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, will be governed by and construed in accordance with the laws applicable in the jurisdiction in which Scholargrowth is established, without regard to its conflict of laws principles, except to the extent mandatory consumer protection laws of the Customer's own jurisdiction apply and cannot be excluded.
The parties agree to attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation before pursuing formal legal proceedings. Where such negotiation does not resolve the dispute within a reasonable period, either party may pursue any remedy available to it under applicable law, subject to any specific dispute resolution mechanism set out in a separate agreement between the parties, if applicable.
22General Provisions
These Terms, together with any documents incorporated into them by reference, including the Privacy Policy and Scholargrowth's published refund policy, constitute the entire agreement between the Customer and Scholargrowth with respect to the Service, and supersede any prior agreements or understandings relating to the same subject matter, except to the extent a separate written agreement signed by both parties expressly states that it takes precedence over these Terms.
If any provision of these Terms is found to be invalid or unenforceable by a court or other tribunal of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. No waiver of any provision of these Terms will be effective unless in writing, and no failure or delay by either party in exercising any right under these Terms will operate as a waiver of that right.
The Customer may not assign or transfer its rights or obligations under these Terms, whether by operation of law or otherwise, without Scholargrowth's prior written consent. Scholargrowth may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of substantially all of its relevant assets, provided that the assignee agrees to be bound by these Terms.
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the Customer and Scholargrowth. Each party remains an independent party in connection with the Service.
23Contact Information
Questions regarding these Terms, or requests relating to billing, refunds, or Account access, can be directed to Scholargrowth's support team through the contact channels made available on the Scholargrowth website. When contacting support regarding a specific Account, Customers are encouraged to include relevant Account details so that the request can be handled efficiently.
These Terms were last updated as indicated on the Scholargrowth website, and Customers are encouraged to review them periodically to stay informed of any changes affecting their use of the Service.
